The rules for using the bldhub platform.
These Terms of Service ("Terms") are a binding agreement between you and Meraki Architecture LLC, doing business as bldhub ("bldhub", "we", "us"). They govern your use of the bldhub websites, applications and related services (the "Platform"). By creating an account, buying credits, placing a bid or otherwise using the Platform, you agree to these Terms, our Privacy Policy and our Cookie Policy. If you do not agree, do not use the Platform.
You must be at least 18 years old and able to form a binding contract. If you use the Platform for a business, you confirm that you have authority to bind it, and "you" includes that business.
bldhub is an online platform that connects Homeowners, Contractors and Subcontractors during the preconstruction phase. It provides project listings, trade job listings, joint venture ("JV") opportunities, lead scores, AI-generated concept renders, messaging and a credit system for placing bids.
bldhub is not a party to any agreement between users. bldhub is not a construction company, contractor, subcontractor, architect, engineer, real estate broker, lender, escrow or payment agent, or financial adviser. It does not perform, supervise, guarantee or insure any construction work. Users are independent parties. Nothing on the Platform creates an employment, agency, partnership or joint venture relationship between bldhub and any user, or between users, unless they separately agree to one.
You must choose the account type that matches your role, give accurate and current information, and keep your login secure. You are responsible for all activity under your account. Sign-in is provided through Google and Firebase Authentication.
Profile information, including license numbers, insurance details, business names, portfolio items and badges, is entered by users. bldhub does not verify it. A "Licensed" or "Insured" badge means only that the user entered a number or details. It is not bldhub's confirmation that a license or policy is valid, current or sufficient.
Some features, including buying credits, bidding, submitting JV proposals and posting trade jobs, require a minimum level of profile completion. Meeting that level does not mean bldhub has reviewed or approved you.
You are responsible for holding every license, registration, insurance policy and bond that your work and location require.
Homeowners post projects. Contractors bid on projects, submit proposals on JV opportunities and post trade jobs. Subcontractors bid on trade jobs.
A standard project or trade job accepts up to 10 bids, and a JV opportunity accepts up to 6 proposals. A listing may close to new bids when its cap is reached, its time limit passes, it is awarded, or the person who posted it closes it.
Some details, such as the full scope of work, plans, survey files, renders and contact details, may stay hidden until you place a bid. Messaging between users opens only after a bid or proposal has been placed. Information shown before a bid may be incomplete.
Users who post listings are responsible for their accuracy and legality and for having the right to offer the work. A bid is only a proposal. It does not oblige anyone to accept it. bldhub does not guarantee any number of listings, bids, responses or awards, and may remove or close listings and bids that breach these Terms or appear fraudulent.
(a) Credits are used to place bids and proposals and to generate AI renders. Prices are shown at checkout. The credit cost of a bid or proposal is shown on the Platform and may vary by listing type or value.
(b) Buy credits only when you have found a project, trade job or JV opportunity you want to bid on. bldhub does not guarantee that suitable opportunities will be available at any time, in any location or trade, or that you will win work. If you buy credits and cannot find anything suitable, bldhub is not responsible and does not refund.
(c) ALL SALES ARE FINAL. Credit purchases are non-refundable, whether used or unused and regardless of the time since purchase, except where non-waivable consumer law requires a refund. In that case only the minimum legally required remedy applies.
(d) Credits are spent when a bid or proposal is placed or a render is generated. They are not returned if a bid is not selected, is rejected or withdrawn, or the listing closes, fills, expires or is removed. The only automatic exception is that the credit used for an AI render that fails to generate is restored. We may restore credits in other cases, such as a technical error, at our sole discretion and without obligation.
(e) Credits, including free or promotional credits, have no cash value, cannot be transferred, sold or exchanged, and do not currently expire. They are forfeited when your account is deleted or terminated.
(f) Payments are processed by Stripe, Inc., and the Stripe Services Agreement applies. bldhub does not store your card details. Applicable taxes are calculated at checkout. bldhub is not responsible for card declines, bank fees, processor outages or disputes with your card issuer. Filing a chargeback for credits you have used may lead to suspension.
Lead scores are automated, rule-based indicators calculated from information entered by the person who posted the listing and, for trade jobs, from the poster's profile information such as profile completeness and experience. They are not verified and are not a guarantee of a project's viability, funding or outcome. Do not rely on a score alone.
AI renders are generated by Google's generative AI services from your descriptions, photos and files. They are conceptual illustrations only. They are not architectural or engineering plans, are not code-compliant, and must not be presented to any building authority as certified or stamped drawings. Hire licensed architects and engineers before any design, permitting or construction. bldhub does not use your prompts or uploads to train its own AI models.
bldhub is not responsible for the work, conduct, finances or promises of any Homeowner, Contractor, Subcontractor or other user. That includes quality, workmanship, safety, cost, schedules, materials, permits, legality, licensing, insurance, payment and the outcome of any project, whether or not the user was found through the Platform.
The work of general contractors and subcontractors is their own. Any agreement is solely between the users involved. bldhub is not a guarantor or witness, and has no duty to mediate or resolve disputes about performance, defects, delays, cost overruns, damage or non-payment.
You must do your own due diligence before working with anyone. Check licenses with the relevant state authority, confirm insurance, ask for references and past work, and sign a written contract.
bldhub processes payments only for credit purchases. Payments for construction or trade work are arranged directly between users. bldhub does not hold, escrow, guarantee or collect them.
JV financial and equity terms are negotiated outside the Platform. bldhub does not structure, review or approve them and gives no investment or legal advice.
A Contractor who engages a Subcontractor is solely responsible for its own legal obligations to that Subcontractor, including payment, insurance, licensing, labor and tax compliance.
You own the content you upload, including plans, CAD files, specifications, photos, text and bids ("User Content"). You grant bldhub a worldwide, non-exclusive, royalty-free license to host, process, display and distribute it to other users as needed to operate, improve and promote the Platform. bldhub may display public listings and renders, without personal contact details, to promote the Platform.
You confirm that you have the rights to upload your User Content and that it does not infringe anyone's rights. You may use renders you generate for personal use and as bidding visuals on the Platform. bldhub may monitor, remove or restrict User Content that breaches these Terms or threatens the security of the Platform, without liability.
You will not:

The Platform, including its software, design, databases, branding and logos, belongs to Meraki Architecture LLC and is protected by intellectual property laws. You receive only a limited, revocable, non-transferable right to use the Platform under these Terms. You may not copy, modify, distribute, license, resell or create derivative works of any part of it. Open-source components remain under their own licenses.
The Platform relies on third-party services, including Google Firebase, Google's generative AI services and Stripe. Their terms apply when you use those features. bldhub does not control them and is not responsible for their outages, changes, data loss or other failures.
We may suspend or terminate your account at any time, with or without notice, for suspected fraud, collusion, fake credentials, breach of these Terms or conduct that harms users or the Platform. We may report unlawful conduct to the authorities. You may delete your account at any time from your dashboard.
On deletion or termination, your credits are forfeited with no refund. We remove your personal credentials within a reasonable period, but keep bids, proposals and transaction records in pseudonymized form for legal, audit, tax and dispute-resolution purposes. Sections that by their nature should survive, including Sections 5 to 7 and 13 to 16, remain in effect.
To the fullest extent permitted by law, the Platform is provided "as is" and "as available". bldhub disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. bldhub does not warrant that the Platform will be uninterrupted, secure or error-free, or that listings, profiles, bids, lead scores or renders are accurate, complete or feasible.
To the fullest extent permitted by law, bldhub, Meraki Architecture LLC and their directors, owners, employees, representatives and service providers are not liable for construction defects, structural failures, budget overruns, delays, contractor abandonment, permit rejections, code violations, disputes between users, lost data, third-party outages or payment-processing errors. They are also not liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost business or lost real estate value, even if advised of the possibility.
bldhub's total liability to you for all claims is limited to the fees you paid to bldhub in the 12 months before the event that gave rise to the claim.
You will defend, indemnify and hold harmless Meraki Architecture LLC, bldhub and their officers, directors, employees, representatives and affiliates from claims, losses, liabilities and expenses, including reasonable attorneys' fees, arising from: (a) your use of the Platform; (b) your User Content; (c) any misrepresentation about your licensing, insurance, bonding or qualifications; (d) any bid, proposal, contract or agreement you make with another user, on or off the Platform; or (e) your breach of these Terms or of any law. We may assume control of the defense of any matter, and you will cooperate.
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules and excluding the UN Convention on Contracts for the International Sale of Goods. Before starting any formal proceeding, you and bldhub will try in good faith to resolve the dispute informally for at least 30 days.
If that fails, all remaining claims will be resolved by binding, confidential, individual arbitration administered by the American Arbitration Association or JAMS under its commercial rules. The seat and venue are Austin, Travis County, Texas, and the language is English. You and bldhub waive any right to a jury trial and to bring or join a class, collective or representative action. Either party may bring an individual claim in small claims court, or seek injunctive relief in court to protect intellectual property. The arbitrator's award is final and binding and may be entered in any court of competent jurisdiction.
We may update these Terms. For material changes we will give at least 14 days' notice by a banner on the Platform, an email to your account address, or both, and we will update the "Effective Date" at the top of this page. If you keep using the Platform after the effective date, you accept the updated Terms.
You consent to receive notices, billing messages, Terms updates and, where permitted, marketing messages by email or in-Platform notification. These satisfy any legal requirement that a communication be in writing.
bldhub responds to valid notices of claimed copyright infringement under the Digital Millennium Copyright Act. Send a written notice to our designated DMCA agent at support@bldhub.us with: (a) a description of the copyrighted work; (b) the location of the infringing material on the Platform; (c) your contact information; (d) a statement of good-faith belief that the use is unauthorized; and (e) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the copyright owner. We may remove the material and terminate repeat infringers.
bldhub is not liable for failures or delays caused by events beyond its reasonable control, including natural disasters, pandemics, war, government action, power or internet failures, and failures of third-party providers. A delay in enforcing a right is not a waiver of it. You may not assign these Terms without our written consent. We may assign them, including in a merger, acquisition or sale of assets. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect. These Terms, with the Privacy Policy and Cookie Policy, are the entire agreement between you and bldhub about the Platform.
