These Terms of Service ('Terms' or 'Agreement') constitute a legally binding agreement between you, whether personally or on behalf of an entity ('user' or 'you'), and Meraki Architecture LLC, its subsidiaries, and its corporate affiliates (collectively, 'bldhub', 'we', 'us', or 'our'), concerning your access to and use of the bldhub website, web applications, mobile applications, and all other software and technologies provided by us (collectively, the 'Platform'). By registering for an account, authenticating through external identity providers, submitting bids, uploading designs, or otherwise continuing to access or use the Platform, you express your absolute and unequivocal agreement to be bound by all of the terms, conditions, and covenants contained in this Agreement. You explicitly represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity and authority to enter into this contract. If you are accessing the Platform on behalf of a corporate entity, professional builder, general contracting firm, or other legal structure, you represent and warrant that you hold the requisite statutory authorization to bind such entity to these Terms. If you do not agree with any provision of this Agreement, or if you do not possess the required age or authority, you must immediately terminate your access to and cease all use of the Platform. Your continued use of the Platform following any modifications, revisions, or amendments to these Terms constitutes your full, complete, and irrevocable acceptance of those updated terms.

Bldhub is strictly and exclusively a software-as-a-service neutral matchmaking and visualization technology platform designed to facilitate introductory connections, collaboration, and high-level architectural rendering. The Platform supports a three-sided multi-role structure comprising: (a) Property Owners looking to conceptually plan and list building campaigns, (b) Developers, Builders, and General Contractors ('Contractors') seeking to place professional estimates and proposals, and (c) Licensed Real Estate Agents, brokers, or design affiliates wishing to track referrals and record project activities. The Platform leverages the state-of-the-art Google Gemini API to generate advanced, AI-powered three-dimensional (3D) conceptual visualizations based on user-provided descriptions, photographs, and layout files. It also offers a structured marketplace bidding loop allowing Property Owners to publish dynamic project campaigns and enabling verified Contractors to submit professional bid responses. Real Estate Agents can use specialized affiliate dashboards to log client introductions and track prospective referral commissions, which is compiled in an informational registry only. Bldhub does not guarantee commission payouts, which are resolved strictly between agents and their designated brokerage teams. Bldhub is not a licensed construction company, general contractor, sub-contractor, developer, registered architect, structural or civil engineer, licensed real estate broker, financial advisor, statutory lender, or investment fiduciary. We do not perform, coordinate, plan, construct, finance, or physically supervise any real-world building activities, nor do we act as an intermediary broker for real estate or securities transactions.

In order to access specific components, tools, rendering engines, and marketplace listings on bldhub, you are required to establish an authorized user account matching your operational role. You represent and covenant that all information provided during registration or any profile update—including, but not limited to, statutory business names, professional emails, telephone numbers, licensures, and corporate status details—is accurate, complete, current, and truthful. You are strictly obligated to maintain the accuracy of this data at all times. Providing false, misleading, or deceptive information constitutes a material breach of this Agreement and may lead to immediate suspension and legal referral. Authentication is initiated via secure third-party single-sign-on systems, including Google OAuth and Firebase Authentication; you are solely responsible for all actions, uploads, transactions, or communications originating from your login credentials. To protect general consumers, Developers and Contractors are required to supply verified license registration identifiers and valid certificates of general liability insurance as part of their onboarding verification process. Bldhub reserves the absolute, unilateral right to suspend, freeze, or terminate any user account, at any time, with or without prior notice, in the event of suspected fraud, collusive activity, bid rigging, submission of fake professional credentials, or any other policy violation. Upon requesting account deletion, bldhub will erase your personally identifiable credentials within a reasonable administrative cycle, but will retain all joint venture, bid, historical proposal, and transactional logs in a highly secure, pseudonymized form to satisfy legal auditing, compliance, and dispute resolution standards.

The Platform incorporates generative artificial intelligence visualization tools developed under the Google Gemini API to permit users to create multi-dimensional representations of potential buildings. All AI-generated 3D renders, schematics, design outputs, material rendering specifications, and corresponding compilations are provided strictly and exclusively as conceptual aids for visual inspiration. They are not structural blueprints, not stamped architectural designs, not stamped engineering plans, and not build-ready or code-compliant plans. Critical warning notice: You must retain licensed architects, civil engineers, structural engineers, and code inspectors to independently draft, re-evaluate, sign, and seal any physical blueprints before undertaking any type of land clearing, earthwork, constructive development, or permitting submission. Bldhub bears zero responsibility, holds no liability, and excludes all warrants for decisions, investments, financial damages, physical building issues, or legal violations made in reliance of generative rendering outcomes. Users are granted a limited, personal, non-transferable, non-exclusive, revocable license to utilize, export, download, and share their generated images for personal use or as bidding visual materials on our Platform. Bldhub retains an unrestricted, worldwide, royalty-free, perpetual license to host, display, highlight, or reproduce any marketplace render or public conceptual upload for our own marketing and promotional purposes. User prompt inputs and uploaded imagery processed through our generative pathways are proxy-configured and are not stored or harvested by bldhub to train or re-engineer secondary visual AI models.

The bldhub bidding marketplace is a pure technological utility providing the database directories, messaging interfaces, and visual parameters through which Property Owners and General Contractors can discover one another. Bldhub is not a construction manager, general broker, or financial escrow, and we do under no circumstances act as a party, signee, guarantor, or witness to any construction agreement, joint venture, project contract, or pricing proposal made between platform users. Contractors submit estimations, bids, proposals, and schedules at their own individual cost, risk, and professional discretion. Bldhub makes no representations, audits, or warranties regarding the accuracy, viability, engineering feasibility, material pricing, safety parameters, or legality of contractor bids, bills of quantities (BOQs), or user-created project specifications. Any contract entered into physical effect is strictly a bilateral arrangement between the property owner and the respective contractor. In the event of disputes regarding performance, quality of concrete or timber, budget overruns, property damage, structural delays, or non-payment, such problems are resolved exclusively between the participating parties. Bldhub holds no obligation, possesses no administrative liability, and exercises no mandate to act as a mediator, formal arbitrator, or judicial referee in user disputes. It is the user's sole responsibility to independently review and verify a Contractor's, Developer's, Property Owner's, or Agent's portfolio, licensing, insurance, references, reviews, and past project history before engaging or entering into any agreement with them; that bldhub does not vet or independently confirm the accuracy of this information beyond minimum onboarding submission; and that bldhub bears no liability for the quality, workmanship, safety, legality, or outcome of any work performed, or for any property damage, financial loss, or harm arising from any user's actions, regardless of whether that user was discovered through the Platform.

Access to advanced marketplace utilities, active contractor bid placements, and generative visualizer expansions is funded on a pay-as-you-go credit system. All transactions, invoice allocations, and card processing are secured via our designated gateway partner, Stripe, Inc. By executing purchase requests on our billing screen, you agree that you are concurrently bound by the Stripe Services Agreement, including the Stripe Consumer Terms of Service. ALL SALES ARE FINAL. All credit package purchases are strictly non-refundable in full, regardless of whether any individual credit within the purchased package has been debited, utilized, or remains entirely unused, and regardless of the time elapsed since purchase. Bldhub does not offer cooling-off periods, partial refunds, pro-rated refunds, or exchanges of any kind for purchased credits under any circumstances, except where such a refund is strictly mandated by non-waivable consumer protection law applicable to your jurisdiction, in which case only the minimum legally required remedy will apply. You acknowledge this no-refund policy as a material condition of purchase prior to completing any transaction. Relevant regional sales taxes, value-added taxes, or municipal levies are calculated dynamically at the checkout screen based on the verified billing address you associate with your payment instrument. Bldhub acts as a software provider and is not liable or accountable for card processing delays, Stripe transaction failures, card declines, foreign banking exchange fees, or payment disputes with card issuers.

You retain complete, proprietary intellectual ownership rights over any CAD files, architectural layouts, physical blueprints, structural outlines, text documents, or project specifications that you physically upload to our servers (collectively, 'User-Generated Content'). However, by publishing or listing a project campaign publicly on our bidding marketplace, you automatically grant bldhub, its corporate successors, and subsidiaries an unrestricted, worldwide, non-exclusive, sub-licensable, royalty-free, perpetual license to host, process, index, parse, display, translate, and distribute such materials to other registered and verified platform users to accomplish marketplace matchmaking. You are strictly prohibited from compiling, uploading, or distributing any content that: (a) infringes on any patent, copyright, trade secret, or proprietary right of a third party, (b) contains malicious scripts, viruses, trojans, or logic bombs, (c) introduces fraudulent or deceptive campaigns, fake profiles, or fake contractor credentials, or (d) contains defamatory, harassing, or obscene materials. Bldhub holds the absolute, unilateral right to monitor, filter, modify, or permanently remove any User-Generated Content at our sole discretion, without liability, if we believe such content breaches our agreements or threatens marketplace security.

As a condition of your ongoing license to use the bldhub Platform, you expressly covenant and agree that you will not violate any administrative boundaries, engage in bad faith pricing, or compromise system architecture. You are strictly prohibited from: (a) attempting to bypass, spoof, modify, or hack our proprietary credit database, (b) engaging in any form of collusive bidding, price-fixing, bid-rigging, or anticompetitive price manipulation with other contractors, (c) utilizing web crawlers, scrapers, data-mining scripts, or manual extractors to siphon off user directories, verified contractor databases, project campaign leads, or system source codes, (d) exporting or presenting conceptual generative AI visualizations to municipal inspectors, building code authorities, or structural permit boards as certified blueprints or stamped architectural designs, (e) falsifying contractor license identifiers, business registrations, or insurance coverage dates, (f) practicing, offering structural calculations, or presenting your firm as a licensed civil engineer, certified architect, or master builder on the platform if you do not hold those credentials in active, good regulatory status within the operational state, (g) accessing the Platform if you are an employee, contractor, advisor, or associate of a direct competitor for reverse-engineering or corporate espionage, and (h) conducting any illegal, deceptive, or malicious activity that violates federal, state, or regional laws. Violations of this section trigger instantaneous account suspension, complete credit forfeiture, and referral to criminal authorities.

All materials, proprietary components, technology designs, frontend layouts, graphic assets, backend algorithms, database frameworks, styling logic, custom logos, visual interfaces, and corporate branding belonging to 'bldhub' are the sole and exclusive property of Meraki Architecture LLC and are protected by United States and international intellectual property, trademark, patent, and trade dress regulations. You are granted no legal rights, express titles, or beneficial interest in our Platform, except for the limited operational usage licensure. You agree that you must not under any circumstances reverse-engineer, decompile, copy, adapt, modify, translate, distribute, license, sublease, or resell any software, databases, or UI patterns retrieved from the Platform. Various library frameworks incorporated into the platform architecture—such as the React JS framework, Tailwind styles, and corresponding open-source elements—are utilized legally under their respective MIT, Apache 2.0, or other compatible open-source licensing regimes.

The operational ecosystem of bldhub is supported by a robust integration of advanced external technologies, including Google Gemini API systems for text-to-image styling, Stripe infrastructure for payment handling, and Google Firebase modules for cloud storage database hosting and authentication. By accessing these functions through bldhub, you acknowledge and agree that your actions are also bound by the Google Generative AI Additional Terms of Service and the Stripe Services Agreement. Bldhub operates as a software integrator and does not control, supervise, or assume liability for the backend servers, networks, APIs, data policies, or performance of these third-party platforms. Bldhub is explicitly not responsible, liable, or accountable for sudden API deprecations, global cloud hosting downtime, storage server failures, Stripe processing interruptions, or any data loss resulting from third-party server errors.

To the extent permitted under applicable United States and state regulations, the bldhub platform and all of its subsidiary interfaces, datastructures, services, directories, generative AI engines, and document specifications are provisioned strongly and exclusively on an 'as is' and 'as available' basis. bldhub disclaims all warranties of any nature—whether represented as express, implied, informational, or statutory—including, but not limited to, the implied warranties of merchantability, satisfactory quality, title, fitness for a particular objective, and integrity of data. We offer absolutely no warranty, representation, or statutory assurance that the service will be completely error-free, secure, concurrently operational, uninterrupted, or free of viruses or malicious packages. We further offer no warranty as to the validity, completeness, accuracy, coherence, or structural feasibility of generated conceptual AI visualizations, proposals posted by private property owners, or contractor license details. Information extracted from the marketplace is provided at your sole personal or corporate discretion and risk.

In no event shall Meraki Architecture LLC, its directors, shareholders, corporate parents, partners, employees, agents, counsel, or third-party integrators be liable for any damages, real-world injuries, or adverse outcomes directly or indirectly stemming from your use of the platform. Specifically, bldhub disclaims all liability for physical construction defects, structural fails, soil testing errors, material incompatibilities, budget overruns, contract delays, contractor abandonment, deviation from schematics, municipal permit rejections, code violations, or failure to secure certificates of occupancy. We shall not be liable for any controversies, communications, disputes, contractual breaches, or losses arising from marketplace engagements or joint ventures entered into by users. Furthermore, bldhub holds zero liability for operational network disruptions, loss of user CAD datasets, API access closures, or Stripe transaction errors. Under all operational conditions, the maximum collective aggregate liability of bldhub to you for any cause, action, suit, or legal claim whatsoever shall be capped at and will run parallel to the total fees you physically paid to bldhub in the twelve (12) calendar months preceding the first event that triggered active legal recourse. In no event shall bldhub be liable to you or any third party for concurrent, indirect, confining, special, punitive, consequential, or incidental costs—including loss of real estate equity, disrupted business operations, or accumulative commercial loss, even if we were advised of such possibilities.

You covenant and agree to fully indemnify, defend, and hold entirely harmless Meraki Architecture LLC, its corporate parents, subsidiaries, executive officers, managing partners, employees, operational agents, brand ambassadors, and legal advisors from and against any third-party claims, lawsuits, investigations, arbitration procedures, financial losses, regulatory penalties, damages, liabilities, and legal settlement costs (including, but not limited to, reasonable internal and external attorneys' fees) arising out of or directly related to: (a) your access to, use of, or activities conducted on the Platform, (b) any User-Generated Content, blueprints, prompt specifications, or communications you upload, transmit, or publish through our database, (c) any contractor bid, proposal, financial negotiation, or construction contract you enter into with another user, (d) your negligent or intentional breach of any term, covenant, or condition of this Agreement, and (e) your physical or virtual infringement upon third-party rights, including, but not limited to, trade secrets, patents, municipal building compliance codes, real estate brokerage licenses, and intellectual property. We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to your indemnification, and you agree to fully cooperate with our legal counsel in enforcing available defenses.

The Platform includes specialized tracking layouts and dynamic spreadsheets intended to log affiliate codes, record agent referral identifiers, and calculate prospective commission percentages. You agree and recognize that this commission tracking system is provided purely and exclusively as an informational convenience feature for licensed real estate agents and affiliate professionals. Bldhub does not act as a financial clearinghouse, does not hold referral commissions in escrow, and is NOT a guarantor, signatory, or legal payor of any brokerage commissions recorded on the system. All actual commission payments and broker-split allocations are entirely subject to bilateral agreements between the cooperating agent, contractor, and their designated real estate broker-of-record. You bear complete, sole duty to ensure that any logged commission, affiliate link, or referral fee complies fully with national and state licensing rules, including RESPA (Real Estate Settlement Procedures Act) boundaries, Texas Real Estate Commission (TREC) guidelines, and tax reporting structures. Bldhub accepts zero liability for failed referral fees, split-payment disputes, or non-compliance under regional real estate regulatory statutes.

This Agreement remains in full physical and legal effect while you maintain an active account or continue to browse Platform data. Bldhub reserves the absolute right, in its sole, unilateral discretion, and without prior notice or legal liability, to permanently suspend, restrict, or completely terminate your user profile and ban your IP address from system servers under any context, including for suspected material breach of our covenants, suspected anti-competition actions, or malicious system uploads. You are entitled to delete your user account at any moment through your dashboard preferences. Upon the completion of account deletion, personal account credentials and email parameters are decoupled and scrubbed; however, any bid records, submitted proposal documents, joint venture interaction footprints, and transactional registers are retained globally in a pseudonymized layout to preserve historical marketplace records and fulfill general civil audit and tax compliance. Crucially, the voluntary deletion or unilateral termination of your account does not provide you with any entitlement, legal claim, or refund for unused, unspent, or promotional credit balances remaining on the site.

These Terms of Service and any transactional contracts, platform usage breaches, or legal actions stemming from your relationship with bldhub shall be governed, framed, and interpreted strictly in accordance with the laws of the State of Texas, USA, without regard to conflict of law rules or the UN Convention on Contracts for the International Sale of Goods. In the event of any legal controversy, grievance, or dispute arising between you and bldhub, both parties solemnly commit to first dedicating at least thirty (30) calendar days to informal, good-faith mediation and negotiation before initiating any formal legal action. Should informal negotiations fail, you and bldhub agree that all remaining claims shall be resolved solely and exclusively through mandatory, binding, confidential individual arbitration, which shall be administered by the American Arbitration Association (AAA) or JAMS in accordance with their respective commercial rules. The seat and physical venue of arbitration shall be within Austin, Travis County, Texas, and proceedings shall be executed in the English language. Strict class action waiver notice: To the entire extent permitted by civil codes, you and bldhub formally agree that all disputes shall only be resolved individually. No dispute shall be incorporated into a class, collective, representative, or concurrent actions. You explicitly waive the constitutional right to a trial by jury and the rights to participate in class actions. The arbitration decision which is entered is final, non-appealable, and may be legally registered in any state or federal court of competent jurisdiction.

Meraki Architecture LLC reserves the right, in its sole discretion, to modify, update, append, or replace these Terms of Service at any time to adapt to statutory real estate laws, security rules, and platform updates. When we execute substantial redrafts or change underlying liability terms, we will actively notify users by publishing a prominent notification banner across the Platform login screen and/or transmitting an advisory email to the primary email address linked to your user account. We will provide exactly fourteen (14) calendar days notice prior to the updated Terms taking legal effect. The 'Last Updated' date displayed prominently at the head of this legal page will be revised to reflect the effective calendar date. Continuing to log in, transmit content, submit bids, or general browsing of Platform services after the expiration of this 14-day notice transition period constitutes your complete, unconditional, and legally binding acceptance of the edited Terms of Service.

Bldhub shall not be liable for any failure or delay in performance under this Agreement resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, governmental action, labor disputes, internet or telecommunications failures, power outages, or failures or interruptions of third-party service providers including Google Firebase, Google Gemini API, or Stripe.

By creating an account, you consent to receive electronic communications from bldhub, including notices, disclosures, updates to this Agreement, billing notifications, and marketing communications (where permitted), via email or in-Platform notification. You agree that any such electronic communication satisfies any legal requirement that such communication be in writing.

No failure or delay by bldhub in exercising any right, power, or remedy under this Agreement shall operate as a waiver of that right, power, or remedy, nor shall any single or partial exercise preclude any further exercise of the same or any other right, power, or remedy.

You may not assign or transfer this Agreement, or any rights or obligations under it, without bldhub's prior written consent. bldhub may freely assign or transfer this Agreement, in whole or in part, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without restriction and without prior notice to you.

If any provision of this Agreement is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from this Agreement, and the remaining provisions shall continue in full force and effect. This Agreement, together with any referenced policies (including the Privacy Policy and Cookie Policy), constitutes the entire agreement between you and bldhub regarding the Platform and supersedes all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and bldhub.
